1. DEFINITIONS

1.1 ‘The Seller’ or ‘we’ or ‘us’ means HOLLIDAYSYSTEMS INC., trading as Rustic Motifs, whose business address is 607 Queen Annes Rd, Greenville, NC 27858, USA.
1.2 ‘The Purchaser’ or ‘you’ means the customer, the person who accepts a quotation or places an order with us for the purchase of goods through this website.
1.3 ‘Products’ means the goods which we supply in accordance with these conditions.
1.4 ‘Conditions’ means the terms and conditions of sale set out in this document.

2. FORMATION OF CONTRACT

These Terms & Conditions form the contract between the Seller and the Purchaser. By ticking the terms and conditions box when placing an order, the Purchaser agrees to be bound by our terms and conditions. Any other terms proposed by the Purchaser are excluded.
If the Purchaser wishes to change any terms, the request must be made in writing. The Seller will inform the Purchaser whether it is willing to agree to the change and, if so, the impact on price and delivery date. The Purchaser must confirm acceptance of the change in writing within 7 days. The Seller will not proceed with the change until this notice is received. A request to reduce the quantity of Products ordered will not result in a price reduction unless otherwise agreed in writing by the Seller.

3. PRICE & PAYMENT

Payment must be made when the order is placed, prior to the receipt of goods, by credit/debit card or other methods offered at checkout.
If for any reason delivery is made before payment, payment is due within 14 days of the invoice date.
The Seller reserves the right to charge interest on any overdue payment at the maximum rate permitted under applicable U.S. law.
All prices are quoted in U.S. dollars. Rustic Motifs reserves the right to alter prices at any time without prior notice.

4. DELIVERY

Product prices quoted on this website do not include delivery; shipping costs are shown during checkout after the Purchaser has entered a delivery address.
All delivery dates given by the Seller are estimates and not guaranteed. The Seller will not be liable to the Purchaser for delays outside its reasonable control. If the Purchaser wishes to arrange collection of the goods, this may be done by appointment. Delivery will occur when the Products are delivered to the address indicated by the Purchaser or collected from the Seller’s premises.

5. OWNERSHIP & RISK

Risk of loss or damage to the Products passes to the Purchaser upon delivery or collection. Ownership of the Products remains with the Seller until full payment has been received.

6. WARRANTY & LIABILITY

The Seller will exercise reasonable skill and care in supplying Products. Any defects must be notified within 30 days of delivery, and the defective Product returned at the Purchaser’s expense. If the Seller accepts that the defect is due to faulty workmanship or materials, the Seller may repair, replace, or refund the defective Product.
The Seller’s liability will be limited to the purchase price of the goods. The Seller will not be liable for indirect or consequential loss, including loss of business or third-party claims.
The warranty does not apply to defects caused by normal wear and tear, misuse, or failure to follow the Seller’s recommendations.

7. RETURNS

Products (other than faulty items) may be returned only at the Seller’s discretion. Please contact Rustic Motifs before sending any return.
Returned items must be in original packaging, unused, unassembled, undamaged, and in resalable condition, and must be returned within 14 days of delivery. Shipping costs for returns are the responsibility of the Purchaser.
Custom, personalized, or special orders are excluded from this returns policy.

8. FORCE MAJEURE

The Seller will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, war, terrorism, strikes, or supply chain disruptions. In such cases, the Seller reserves the right to cancel or delay an order.

9. INTELLECTUAL PROPERTY

All designs, content, and intellectual property rights in Products are and will remain the sole property of the Seller, except where designs are supplied by the Purchaser specifically for customization. The Purchaser may not copy, reproduce, or make use of any of the Seller’s intellectual property without prior written consent.

10. PURCHASER DEFAULT

If the Purchaser (a) breaches this contract, (b) fails to make a payment when due, or (c) becomes insolvent or enters bankruptcy, the Seller may cancel the contract and repossess any Products for which payment has not been received.

11. LAW & DISPUTES

These Terms & Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of North Carolina, United States. Any dispute that cannot be settled amicably shall be submitted to mediation. If unresolved, the matter will be referred to the courts of North Carolina, USA.
